1. Partner Program Overview
This Partner Agreement ("Agreement") is entered into between CinematicCard ("Company") and the partner organization ("Partner") identified during registration. By activating your account, you agree to be bound by the terms outlined in this Agreement. This Agreement governs your participation in the CinematicCard Partner Program, including access to our API, resale of card redemption codes, and use of CinematicCard branding and materials.
2. API License & Usage
Company grants Partner a non-exclusive, non-transferable, revocable license to access and use the CinematicCard API solely for the purpose of integrating CinematicCard services into Partner's platform or offerings. Partner shall not sublicense, reverse-engineer, or attempt to derive source code from the API. API credentials are confidential and must not be shared with unauthorized parties. Company reserves the right to impose rate limits and usage quotas at its sole discretion. Partner agrees to implement reasonable caching strategies and to not place undue burden on Company infrastructure.
3. Branding Guidelines
Partner may use CinematicCard trademarks, logos, and marketing materials solely in connection with promoting CinematicCard services as authorized under this Agreement. All use of Company branding must comply with the CinematicCard Brand Guidelines as provided and updated from time to time. Partner shall not modify, distort, or alter Company trademarks in any way. Co-branded materials must be submitted for approval prior to distribution. Partner shall not imply endorsement, sponsorship, or affiliation beyond the scope of this Agreement.
4. Data Protection & Privacy
Partner acknowledges that certain customer data may be shared between the parties for the purpose of fulfilling card orders and providing customer support. Partner shall comply with all applicable data protection laws, including but not limited to GDPR and CCPA, as applicable. Partner shall not sell, lease, or otherwise distribute customer data obtained through the CinematicCard platform. Partner shall implement industry-standard security measures to protect any customer data in its possession. In the event of a data breach affecting CinematicCard customer data, Partner shall notify Company within 48 hours of discovery.
5. Pricing & Payment Terms
Partner purchases card redemption codes in bulk at the wholesale rate established at the time of purchase. Wholesale pricing is tiered based on volume and may be updated by Company with 30 days' written notice. Partner is free to set its own retail pricing for end customers, provided it does not engage in deceptive pricing practices. All purchases are final. Unused codes do not expire and are not eligible for refund unless otherwise agreed in writing. Payment is due at the time of purchase. Company accepts payment via Stripe and will issue receipts for all transactions.
6. Card Distribution
Partner is authorized to distribute purchased card redemption codes to end customers through its own platform, marketing channels, or physical distribution. Each redemption code entitles the end customer to create one CinematicCard. Partner shall not distribute codes in a manner that is misleading, fraudulent, or in violation of any applicable law. Partner is responsible for providing first-line customer support for code redemption issues. Company will provide second-line support for technical issues related to card creation and delivery.
7. Termination
Either party may terminate this Agreement with 30 days' written notice. Company may suspend or terminate Partner access immediately if Partner breaches any material term of this Agreement, engages in fraudulent activity, or causes harm to Company's reputation or platform. Upon termination, Partner's API access will be revoked. Unused redemption codes already purchased remain valid and redeemable by end customers. Sections relating to data protection, confidentiality, and limitation of liability shall survive termination.
8. Limitation of Liability
To the maximum extent permitted by law, neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement, regardless of the theory of liability. Company's total aggregate liability under this Agreement shall not exceed the amounts paid by Partner to Company in the twelve (12) months preceding the claim. Company provides the platform and API "as is" and makes no warranties, express or implied, regarding uptime, availability, or fitness for a particular purpose, except as expressly stated in any applicable service level agreement.
